GENERALTURIST - "TRAVEL CLICK" AFFILIATE PROGRAM
CONTRACT

This contract is being signed between the travel agency Generalturist d.o.o. with itsheadquarters at the address: Pile 1a (Kruge), HR-10000 Zagreb (hereinafter called: Generalturist)and the owner of the Internet site who entered his/her data in the online entry form forparticipating in the Generalturist affiliate program (hereinafter called: affiliate partner).By filling out the online form, the affiliate partner accepts all of the provisions of thiscontract in their entirety. The contract defines the conditions for participating, as well asthe rights and obligations for participants in the affiliate program.

MUTUAL RELATIONS BETWEEN CONTRACTING PARTIES

Each party in the contract is independent. This contract does not represent agencyB2B cooperation and the affiliate partner is not entitled to present Generalturistservices that are not defined by this contract. Generalturist reserves all the rightsrelated to the name of the company, signs, logos, text and all other graphicalelements and intellectual rights.

PARTICIPATING IN THE AFFILIATE PROGRAM

Every natural or legal person who owns an Internet site has a right to participate. One will becomean affiliate partner upon receiving the unique Generalturist link (hereinafter called: affiliate URL).It is necessary to fill out the Generalturist affiliate online form in order to receive the affiliate URL.After the online entry of requested data, the affiliate partner will be assigned an affiliate URL providedhe/she meets Generalturist conditions for participating in the affiliate program.

The affiliate partner will redirect visitors from his/her Internet site to the assigned affiliate URL.Participating in the affiliate program is open to all Internet sites that do not contain the following content:

• erotic or pornographic material, violence, any form of discrimination (religious, ethnic, race, gender discrimination...)
• illegal activities (“warez”), that in any way infringe intellectual property and rights
• the use of “spyware” and automatic dialer scripts, as well as other malicious scripts that endanger the privacy of users

and, in their activities, do not use: spam advertising methods (mass sending of emails, mass posting in news groups, guest books...)

Generalturist has the right to terminate, at any time, the participation of an affiliate partner in theprogram if, during regular inspection of his/her Internet site, any of the above mentioned elements isdiscovered. Partners whose requests to participate in the affiliate program have been rejected, as wellas partners who have been excluded at a later point from the program, have the right to re-apply forparticipating in the affiliate program, if they consider that they have made changes in order toeliminate the elements, that is, the reasons why they had been rejected or excluded at a later point.

LINKING OF THE INTERNET SITES

of Generalturist and the affiliate partner is achieved by the affiliate URL, which canbe placed on: a) a word, b) a banner and/or c) a picture, that will link to previouslydefined Generalturist pages (homepage, destinations, product, accommodation units andso on). Generalturist may, at the request of the affiliate partner, create new affiliateURLs for pages whose URLs are not part of the partner’s online account.

Generalturist is responsible for creating graphic material for linking from the partnersite, that is, the affiliate partner will have access to ready made banners and affiliateURLs at a separate location that can be accessed by his/her unique affiliate password.

It is important to use the affiliate URL in its original format, because even the slightestmodification of the assigned URL can cause its malfunction, which will have a negativeimpact on the revenues of the affiliate partner, given that, in this case, the affiliateprogram will not appropriately function and Generalturist will not be able to guaranteeaccurate data related to tracking affiliate partner revenues.

The affiliate partner is required to keep private his/her password and must not pass it onto third parties. In case of misuse, the affiliate partner will be held liable fordamages caused by failing to keep his/her password private.

TRACKING REVENUES AND COMMISSION LEVEL

Upon filling out the online entry form, the affiliate partner will receive his/her username andpassword for accessing the affiliate account that is located on Generalturist’s web site. Withinhis/her account, the affiliate partner has a complete overview of the number of visitors, ofreservations carried out, of total revenues, as well as of payments to him/her.

Commission is paid in the form of a fixed amount, depending on the value of the basic service in the reservation.

Please note that the value of the reservation refers to the value of the basic service(without additional charges or Sojourn Tax) and VAT is included in the amount of commission.Each reservation carried out on the part of a re-directed visitor is tracked within the affiliatepartner’s account. The accuracy of data within the account is assured by the use of a third-partycommercial licensed software solution. The affiliate partner can ask for additional informationregarding the software solution if he/she has additional questions related to the accuracy of thetracking procedure. Generalturist is required to provide an answer within 10 working days.

ADVANTAGES OF THE GENERALTURIST TRAVEL CLICK PROGRAM

The Travel Click Program has an advanced software payment tracking and processing procedurethat, besides the usual 24 hour online payment and credit card authorization, comprises ALLmethods of payment by guests; (bank check, SWIFT money order, cash...) that are processedby employees of Generalturist’s Call Center. In this way, the affiliate partner receives,within his/her account, real-time data on sales carried out and commission at the momentof service payment on the part of the guest. Generalturist’s Call Center is responsiblefor the entire communication with the guest, including replying to inquiries, providinginformation, confirming reservations, payments, cancellations and possible complaints.

for each booking - partner commission = 25 €

if the revenue in 1 calculation year amounts to over 100,001 € - the partner will become a GOLDmember

if the revenue in 1 calculation year amounts to over 200,001 € - the partner will become a DIAMOND member

Benefits for GOLD partners: 1000 € bonus, 7 day summer holiday in Croatia, half-board for 2 in a hotel

Benefits for DIAMOND partners: 2000 € bonus, 7 day summer holiday in Croatia, half-board for 2 in a hotel+ 1 week on a Generalturist sailboat in May or June

In case of cancellations, Generalturist reserves the right not to pay commission for canceled reservations.The affiliate partner will be informed about it and, upon his/her request, will be provided documentationabout the canceled reservations for inspection.

The calculation year refers to the period starting from the receipt of the affiliate URL from Generalturist+ 12 months. For instance, if the affiliate URL was received on 10.05.2005,the calculation year will be valid till 09.05.2006, and on 10.05.2006 a newcalculation year begins, while all commission for the previous year will be paid andthe tracking of revenue restarts from 0. The bonus is paid after attaining Gold or Diamondstatus or at the end of the calculation year, according to the partner’s wishes. The bonusincludes VAT and is paid according to the calculation at the end of the calculation year,while the combination of 2 bonuses is not allowed. The maximum amount of bonus that may be paid amounts to 2000 €.

DYNAMICS OF COMMISSION PAYMENT

At each written payment request (email or letter), Generalturist is required to makethe payment to the affiliate partner within 10 working days. If the affiliate partneris a legal person, he/she will issue an invoice, based on which Generalturist will makecommission payment. By signing this contract, the affiliate partner takes on theresponsibility to pay associated taxes to the state, while Generalturist is notliable should the affiliate partner not pay the associated taxes to the state. Thereis no minimum amount for payment, except in cases when the money transfer costs exceedthe commission amount. Generalturist pays the money transfer costs.

MODIFICATIONS TO THE CONTRACT AND CONTRACT DURATION

Modifications to the contract come into force upon publication on Generalturist’s web site.In order to find out about possible modifications, the affiliate partner is required to viewGeneralturist’s web site on a regular basis. This contract has been signed for a permanentperiod of time, from the moment that the affiliate partner was accepted by Generalturist.
This contract can be terminated by both parties without prior explanations.

FINAL PROVISIONS

Generalturist is not liable for indirect damage related to non-calculated COMMISSION,if it is determined that the cause was inappropriate handling of the affiliate URL ordue to deleting of cookies on the part of visitors. Cookies of visitors who arrive fromthe affiliate partner site are valid for 30 days. Generalturist is not responsible fordamages caused by server errors, power failures, extreme weather conditions and cases of‘force majeure’. Generalturist is not liable for indirect, specific or any other damagesto affiliate partner sites, proven to be the result of participating in the affiliate program.

COURT JURISDICTION

The contracting parties agree to resolve all possible disputes and misunderstandings resultingfrom this contract by mutual agreement. Should this not be possible, the competencyof the authorized court in Zagreb will be sought.
